AuctionNinja respects your privacy. 

As a result, AuctionNinja will never sell your information nor your customers' information to any third party for any reason.

This Privacy Policy summarizes how AuctionNinja collects, stores, uses, discloses and protects your personal information to help maintain a safe, online environment encompassing AuctionNinja (the “Site”). By accepting this Privacy Policy and the AuctionNinja TERMS OF USE AND CONDITIONS in your registration for use of AuctionNinja, you consent to AuctionNinja handling of your personal information as described in this Privacy Policy. This Privacy Policy is effective immediately upon acceptance for new AuctionNinja Users and is otherwise effective on March 23, 2018, for existing site Users (superseding any earlier versions of the Privacy Policy).

This Privacy Policy may be updated with amendments posted on the Site at any time. Privacy Policy amendments take effect automatically after their posting, unless otherwise indicated.

1. PRIMARY PRIVACY PRINCIPLES

Perusal of the Site may be done anonymously. However, use of the Site and its features requires AuctionNinja’s collection of your personal information in order to enhance safety and efficiency for the interactive AuctionNinja community, and provide you with services and customer support. Your personal information will also be used to: compare information for accuracy and verify information with third parties; resolve disputes; collect fees; troubleshoot problems; assess and improve AuctionNinja services and advertising; prevent prospective prohibited or illegal activities; and, enforce the AuctionNinja TERMS OF USE AND CONDITIONS.

Should you decide to provide AuctionNinja with your personal information and use the Site, you consent to the transfer and storage of your information on AuctionNinja servers located in the United States. AuctionNinja uses many methods to protect your personal information from unauthorized access; however, third parties may unlawfully intercept/access private communication and transmissions of the Site, and other Users may abuse/misuse your personal information they gather from use of the Site. Thus, although protection of your privacy is very important to AuctionNinja, and AuctionNinja employs many methods to protect your privacy, AuctionNinja cannot guarantee that your personal information and communications will remain private.

Personal information that AuctionNinja collects from AuctionNinja Users include: email addresses; physical contact information; financial information (credit card and/or bank account numbers); shipping, contact and billing information to be revealed in transactions for the purchase or shipment of an item; dispute resolution; correspondence through the Site and sent to AuctionNinja; and, transactional information (bidding, buying, selling, item and content you generate or that relates to your account) based on your AuctionNinja activities. Specific information gathered may depend on the types of AuctionNinja services used. You are able to review and change your personal information at any time on your personal Dashboard in order to keep your information up to date.

AuctionNinja will generally not manually change your personal information due to the difficulty in remote verification of your identity; thus, you are required to review and update your personal information on your Dashboard expeditiously and regularly. Personal information is retained from closed accounts in accordance with governing laws, to identify and discourage fraud, resolve outstanding and prospective disputes, aid in any transactional and account investigations, enforce the AuctionNinja TERMS OF USE AND CONDITIONS, take actions permitted by law, and collect outstanding and owed fees.

User Name & Password:  In signing up for the use of the Site and its services, you will choose an available Username (User Identification, User ID) for your identification. Your Username is the means by which other AuctionNinja Users immediately recognize you and is displayed throughout the Site, and as such, is viewable by AuctionNinja and Sellers upon successful bidding. All of your activity on the Site may be tracked to your Username (past purchases, bids, items for sale, etc.).

As part of your registration process with the Site, you will be required to create and assign a password for your account. Since your password serves as the critical key to your account, and is the primary means of your account’s protection, a unique combination of letters, numbers and/or special characters should be used to prevent other people from accessing and using your account without your authorization and permission.

Your password should not be shared with anyone, and if you choose to disclose your password with others, you are responsible for and legally bound to all actions taken on behalf of your account, including those actions done by others with whom you have shared your password and have accessed your account.

Additionally, your personal account information is accessible, viewable and modifiable by the person who enters your account via your password. Should you lose control of your password, your personal information may be vulnerable to the people that have your password, and you may be subjected to legally-binding actions they take on behalf of your account. Thus, if your password for any reason has been undesirably compromised, you should immediately notify AuctionNinja of the situation and change your password in your Dashboard. Regardless, for your protection, AuctionNinja recommends that you change your password regularly.

AuctionNinja is not responsible in any way, shape or form for actions, purchases and fees incurred resulting in part or whole—directly or indirectly—from unauthorized access and use of your account (including hacking); AuctionNinja is not responsible for, or liable to issue, any refund, restitution or compensation for such incidents and occurrences.

AuctionNinja provides you with choices and options on your Dashboard about how you would like to be contacted. AuctionNinja will provide you with notice if this AuctionNinja Privacy Policy changes. If you reject such changes, please immediately terminate your use of the Site; your continued use of the Site after such changes are set forth will imply your consent and acceptance of the changes. Any changes will be posted on the Site with their associated date of effect. Based on your preferences set on your Dashboard, you may be contacted about service updates and promotional offers.

AuctionNinja shares your personal information with other AuctionNinja members in accordance with this AuctionNinja Privacy Policy to help facilitate transactions and to allow members to contact you. Disclosed information includes, but is not limited to, names, Usernames, shipping, and contact information.

AuctionNinja shares your personal information with Internal Service Providers (i.e., I/T, technical support, Sellers) for AuctionNinja operations only to facilitate or outsource a AuctionNinja service or operation when absolutely necessary and under confidential restrictions.

AuctionNinja also may disclose limited personal contact information to verified requests by law enforcement/government officials for criminal investigations, enforcement of AuctionNinja policies, and claim responses regarding potential violations of other User rights and/or compromises in User safety, rights or property, in accordance with this AuctionNinja Privacy Policy.

Unless otherwise noted, this Privacy Policy only addresses the collection, storage, use and disclosure of information that AuctionNinja collects from you. AuctionNinja will not sell nor release your personal information to third parties for their marketing purposes and will only disclose your personal information in accordance with this AuctionNinja Privacy Policy AND THE TERMS OF USE AND CONDITIONS described herein and/or with your explicit consent.

Should you choose to release your personal information to other site Users (Bidders, Buyers and/or Sellers), different rules and regulations may apply to their collection, storage, use and disclosure of information, and you may be subject to their requirements as applicable. AuctionNinja does not control, affiliate with, nor recognize and is not responsible for the privacy polices of third parties; thus, AuctionNinja recommends that you inquire and familiarize yourself with other Users and third parties prior to releasing your information to them.

Should you choose to opt-in to sharing your email address with a specific licensee/vendor/seller and later wish to opt-out, any and all opt-out requests must be directed to the specific licensee/vendor/seller.

2. ZERO TOLERANCE

AuctionNinja does not allow and tolerate spam, spoofing and spyware. Licensees/Vendors/Sellers may not add other Users to email or traditional mailing lists without the User's explicit consent (opt-in), even if the licensee/vendor/seller was involved in a transaction with the User. The Site’s communication tools may not be used to distribute spam or used for other purposes or to send content that are in violation of the AuctionNinja TERMS OF USE AND CONDITIONS. Users should be careful of and avoid spam, viruses, phishing, and other malicious, illegal, and prohibited activities and content.

To report incidences of spam, spoofing and spyware, please send AuctionNinja a message using the contact AuctionNinja form.

3. COOKIES

Cookies are small data files put on your hard drive containing information about your use and access of the Site. Cookies are used to help identify and keep you signed into the Site. Cookies are also used to aid in trust and safety while assessing site traffic. Most cookies are temporary and are automatically deleted from your hard drive upon the end of your session. You may opt not to accept AuctionNinja cookies should your browser permit it; however, the Site may offer certain features and uses that are only available through your allowance of cookies.

4. YOUR USE OF AUCTIONNINJA COMMUNITY INFORMATION

AuctionNinja discloses limited personal information to the Users involved in the final transaction as part of the transaction completion process; personal information of both the Seller and winning Buyer is revealed to each other by AuctionNinja in order to facilitate and complete the transaction. Disclosed information includes, but is not limited to, names, Usernames, shipping, and contact information.

AuctionNinja recommends that Sellers reveal their individual privacy principles to other AuctionNinja Users, and respect and adhere to the privacy preferences of other AuctionNinja Users. AuctionNinja cannot guarantee the security or privacy of your information; thus, AuctionNinja recommends that you obtain, assess and evaluate the privacy and security policies of other Users prior to engaging in potential transactions with them and sharing of your information.

Transactions on the Site may present you with the opportunity to gather information about other Users and maintain a database of this information. Gathering personal information about other AuctionNinja Users is strictly prohibited without their explicit consent. You must give other Users the chance to regularly review what information you have collected and stored about them, and allow them to remove themselves from your database at any time. You agree to use other AuctionNinja User information only for purposes related to AuctionNinja transactions and offered services that the other User explicitly consents to, and NOT for unsolicited commercial messages and advertising.

Marketplace Terms of Use & Conditions

Welcome to AuctionNinja. This agreement describes the terms and conditions by which AuctionNinja offers you, "the User," access to AuctionNinja's services. Herein after the term, "you," shall mean the User whether a Buyer or Seller (Vendor and/or Auction House). By using the services on the AuctionNinja website (the "Site"), you are agreeing to the following terms (collectively, the "User Agreement") with AuctionNinja, Inc., the Owner and Operator of the Site. If you have any questions, please use the Contact AuctionNinja form to send AuctionNinja your question to the appropriate party.

Should you decide to use the services and features of the Site and become a member of the AuctionNinja community, you must read, understand and accept the terms and conditions of this User Agreement, as well as the AuctionNinja PRIVACY POLICY (collectively, the "Agreement") in their entirety as written and unchanged.

Changes to Terms & Conditions: Be informed that AuctionNinja, Inc. reserves the right to modify and amend the Agreement at any time in AuctionNinja's sole discretion by posting the modified and amended terms on the Site. Except as otherwise and specifically stated, all modified and amended terms will be immediately effective upon their posting on the Site. You are responsible for regularly accessing and reviewing the Agreement since any applicable modifications and amendments may be posted without notice to you. You agree that AuctionNinja is not obligated to notify you at any time of any modifications or amendments to the Agreement. Your continued use of the Site after any AuctionNinja' posting of modifications and amendments to the Agreement constitutes your acceptance of such Agreement changes. If you do not accept any modifications and amendments to the Agreement, do not continue to access the Site and use its services and features.

Use of the Site's services and features are strictly limited to those who are at least 18 years old in age and can form legally binding contracts under applicable law. Further, services and features of the Site are not available to temporarily or indefinitely suspended AuctionNinja members. If you do not meet these requirements, do not use the Site's services and features.

1. USE OF SITE

AuctionNinja is an online venue for Sellers to post auctions containing items for sale, and Buyers to browse these listings and opt to bid on and buy these items. AuctionNinja facilitates the selling and buying of items, but is not involved in the actual transactions between Sellers and Buyers. As such, AuctionNinja has no control over the authenticity, quality, safety and legality of the items; the accuracy and truth of the item descriptions; and the abilities and capabilities of the Sellers and Buyers to sell and buy items. AuctionNinja cannot ensure that the Seller or Buyer will satisfactorily complete a transaction.

You may use the Site only in accordance with and subject to these Terms of Use and Conditions. Once you complete and submit your registration you have opted-in to receive email communication from AuctionNinja and in order to remain a member of this Site, you must agree to receive email from AuctionNinja.

You must also authorize AuctionNinja to charge the credit or debit card you have entered on this site for the hammer price of an item which you were the high bidder plus the buyer's premium and all applicable sales tax. (Note: buyer's premiums may vary from one SELLER to another. Please review the terms of sale for each SELLER before bidding.) Your card will be charged within 24 hours of auction end. Failure to keep valid credit card information on file will result in your use of the site being terminated.

To initiate your ability to bid with AuctionNinja, an initial $1.00 pre-authorization transaction will appear on your statement. This pending transaction will not settle and will drop off after 5 -7 business days depending on your card's issuing bank (American Express & Discover may take longer).

Periodically, AuctionNinja may perform re-authorizations on your credit card to ensure that your card is still valid or in "good standing." Hereto, a $1.00 pre-authorization transaction will appear on your statement. This pending transaction will not settle and will drop off after 5 -7 business days depending on your card's issuing bank (American Express & Discover may take longer).

You certify that you are an authorized user of this credit card and that you will not dispute the purchase payments with your credit card company provided the transactions correspond to the terms indicated in this authorization outline. There are no options for payments by cash or check on AuctionNinja.

You certify that you understand that online auction closing dates and times are set by the independent licensee/vendor (Seller) and are subject to change without notice. Individual lots and items may be modified or changed at any time, at the Seller’s discretion. You also certify that you understand that each licensee/vendor operates independently from others and may have different sale, pick-up, forfeiture, payment, and/or shipping policies and that by bidding in any auction, you agree to abide by that respective licensee/seller's policy. 

AuctionNinja does not control any of the information provided by Sellers, nor does AuctionNinja guarantee that Sellers maintain proper auctioneer licenses in compliance with applicable laws in the states and regions in which they operate.

2. MEMBERSHIP ELIGIBILITY

The Site is available to members who are 18 years and older and who have not been suspended or removed by AuctionNinja for any reason. By becoming a member you represent that you are of legal age. As a member, you agree to provide true accurate, current and complete information about yourself as prompted by the Site's registration forms. In addition, as a member, you agree and acknowledge that you will maintain valid credit card info within your membership profile so long as you maintain an account with AuctionNinja.

User Ban Policy: Users who violate AuctionNinja's policy may be banned from the AuctionNinja site for a period of time, or indefinitely and permanently, depending on the severity and nature of the violation. Furthermore, Users who violate AuctionNinja's policy may also be subject to other penalties, fines and/or punishment imposed by regulatory and enforcement agency(ies) in accordance with applicable law.

3. BUYER'S CONTRACT

Caveat Emptor — The buyer is responsible for performing any and all due-diligence before placing any bids on any items. It is the buyer's sole responsibility to make any pertinent condition inquiries to the seller prior to bidding. Once the auction hammer falls to the buyer, the buyer is legally obligated to buy the item without any further inquiries nor contestations.

All Bids are Binding — Bids placed on the AuctionNinja website are a binding contract between the seller and the bidder. The buyer is responsible for paying all amounts due to AuctionNinja including sale price, buyer's premium and all applicable taxes (rules for applicable taxes vary by state). Do not bid if you are unable to pay and take possession of the items in the specified time periods for each auction, sale or event. Do not bid if you have not performed your due diligence. All sales are final. No returns, credits or exchanges.

A bid placed by any buyer/bidder shall be conclusive proof that the buyer/bidder read and acquainted himself/herself with the seller's terms and conditions of sale and agree to be bound by such terms and conditions prior to placing any bid with respective Seller.

4. SELLER'S CONTRACT

This Terms of Use and Conditions works in conjunction with the Seller's Software-as-a-Service Agreement, also known as the Software-as-a-Service Agreement. The Terms of Use and Conditions does not in any way terminate, supersede, nor replace the Seller's Subscription Agreement signed by the Seller. In order to sell on the Site, AuctionNinja Sellers must agree to the all of the following: Terms of Use and Conditions, Privacy Policy, and Subscription Agreement.

Seller agrees to complete the sale by transferring (giving) the item of property purchased by the highest bidder/buyer to the highest bidder/buyer, unless the bidder/buyer of said item of property fails to make payment, as agreed in the Buyer's Contract.

5. ITEM DESCRIPTIONS

All items are sold as-is, where-is. While AuctionNinja Sellers are expected to do their best to list any damage, repairs or restorations, the absence of these descriptions or conditions must not be taken to imply that the lot is in perfect condition. Most of the items sold by Sellers on the AuctionNinja platform are antique, vintage or used. You should expect signs of wear consistent with age.

AuctionNinja Sellers may offer preview inspections for the sole purpose of allowing Buyers the opportunity for personal inspection before placing bids, but are not required to do so. Condition reports may also be available, depending on, and at the sole discretion of the Seller.

If you have any doubts or questions about any lots being offered by Sellers, be sure to reach out directly to the Seller BEFORE bidding. Seller contact information may be found on the individual auction landing page. All sales are final. No returns, credits or exchanges.

6. BUYER'S PREMIUM

A buyer's premium (typically 18%, but may vary from one Seller to another) will be added to the hammer price in all auctions and will be charged along with the hammer prices and applicable sales tax to the credit or debit card you have on file with AuctionNinja within 24 hours of the auction end. Please review the terms of sale for each Seller before bidding.

7. SALES TAX

All sales are subject to appropriate sales tax laws in the states where the sale is being held. Tax exempt Buyers must provide the appropriate state sales tax exemption certificate prior to the end of the sale. Upon receipt of such information by AuctionNinja, your future purchases will not be taxed. Tax resale forms can be submitted in your membership profile. Your profile name and address must be the same as your resale certificate.

8. NO BID RETRACTION OR MODIFICATION; NO AUCTIONNINJA INVOLVEMENT

While AuctionNinja may provide certain services to enable transactions through its Marketplace, AuctionNinja has no control over, nor is responsible for, nor guarantees the performance or actions of any Seller or Buyer.

Buyers must be very careful in placing bids, as once their amount is entered, it is NOT retractable. Buyers may increase their maximum bids at anytime. Any subsequent coordination for adjustment, cancellation, refund, etc. needs to be done directly between the Seller and Buyer, independent, separate and without involvement of AuctionNinja. AuctionNinja is NOT responsible for-and, will NOT perform-any corrective actions or adjustments.

By entering a bid amount in an auction and clicking on "Submit Bid," the Buyer commits to buying the listed item from the Seller if they end up becoming the winning bidder. Furthermore, AuctionNinja does NOT offer any sort or type of Buyer or Seller protection plans, programs, warranties and/or guarantees. AuctionNinja also does NOT offer any sort or type of price matching or best price programs and/or guarantees.

9. RETENTION OF CREDIT CARD INFORMATION

By providing your credit card information to a Seller, you authorize such party to charge your credit card for the purchase amount of any successful bid with Seller plus the buyer's premium and any applicable taxes. Your card will be charged within 24 hours of auction end. Failure to keep valid credit card information on file will result in your use of the site being terminated. To initiate your ability to bid with AuctionNinja, an initial $1.00 pre-authorization transaction will appear on your statement. This pending transaction will not settle and will drop off after 5 -7 business days, depending on your card's issuing bank (American Express & Discover may take longer). By providing your credit card information to AuctionNinja, you authorize AuctionNinja to charge your credit card for the purchase amount of any services contracted for from AuctionNinja as well any applicable taxes.

You certify that you are an authorized user of this credit card and that you will not dispute the purchase payments with your credit card company provided the transactions correspond to the terms indicated in this authorization outline.

All credit card information entered on AuctionNinja is encrypted and processed by a reputable third party processor. AuctionNinja does not store your credit card information for security purposes which is held by reputable third party processors.

AuctionNinja's automatic debit system prohibits new card details to be retroactively applied to prior purchases. It is the sole responsibility of the user to ensure that their credit card on file is current and accurate. If your card is declined for any reason (i.e., expired, new card issued, lack of funds, etc.), you are responsible for contacting the Seller directly to render payment directly to the Seller and then update your card on AuctionNinja for future purchases.

UPDATING YOUR CARD:  Buyers may update their credit cards at any time. Simply:

1. Log in using your USER NAME and PASSWORD

2. Click on “My Dashboard,” 

3. Click on “Account”

4. Click on “Manage Payment Options.”  

5. Click “+ Add credit/debit card” (appearing in red next to the page header)

10. PICK-UP & SHIPPING

PICK-UP: 
Successful Buyers must pick up their items at the designated sale location within the assigned time frame as stated in the sale details page. If you have any doubts about your ability to pick-up your auction winnings and the designated sale location during the designated times, DO NOT BID.

If after winning an item you determine you are unable to pick up your items during the scheduled removal times and dates, you must contact the individual AuctionNinja Seller within 24 hours prior of the scheduled pick-up date and the Seller will determine if alternate arrangements can be made. Arrangements will be at the sole discretion of the AuctionNinja Seller and may be subject to additional transport, labor and/or storage fees - payable directly to the Seller.

SHIPPING: 
AuctionNinja is strictly a venue to facilitate successful transactions between Site Users (Buyers and Sellers), and currently does NOT provide any direct or physical shipping/delivery capability for Users. Buyers are strongly urged to completely read through and fully understand the Seller's shipping/delivery policy and/or terms of sale stated within the auction listing description, and contact the Seller directly for any further clarity and confirmation if anything is uncertain, ambiguous or unclear.

As a Seller, you are entirely responsible that the Buyer successfully and satisfactorily receives what they pay for. Each Seller is strongly recommended to develop and explicitly describe their shipping/delivery/distribution/pick-up policy on each and every one of their listings, along with available shipping/delivery carriers, options and service with associated costs, if applicable.

11. FORFEITURE OF ITEMS

Any items not paid and / or not picked up during the specified pick up time in accordance with the Seller's Terms of Sale will be forfeited by the Buyer. AuctionNinja Sellers, at their sole discretion, may re-offer the items or donate them to a charity of the Seller's choosing. AuctionNinja reserves the right to report your account to collections for the combined total of the original invoice amount and any moving or disposal charges. Your membership with AuctionNinja will be revoked unless past due invoices and any additional charges are paid in full.

12. PROHIBITED USE

You agree not to sell, license, rent, modify, distribute, copy, reproduce, transmit, publicly display, publicly perform, publish, adept, edit or create derivative works from content (including imagery) or materials on the Site. Use of the content and materials for any purpose not expressly permitted in these Terms of Use and Conditions is prohibited. You may not decompile, reverse engineer, disassemble, or otherwise reduce the Site to a human-perceivable form, except and only to the extent that such activity is expressly permitted by applicable law, and in that case, only if you notify AuctionNinja in writing in advance. You may not copy, frame-set, enclose or otherwise distribute any part of the Site.

13. PROHIBITED / RESTRICTED ITEMS

AuctionNinja is an online auction software used by estate liquidation and auction house licensees/vendors to sell estate and secondhand personal property to bidders/buyers. AuctionNinja does not choose the merchandise listed on the site. It is the responsibility of both the buyer and seller to know, understand, and adhere to all prevailing federal, state, and local laws and regulations for what may or may not be sold in accordance with the law. 

When listing items for sale on AuctionNinja, licensees/vendors attest that the items that they are listing do not violate any U.S. laws, policies or restrictions on items from countries that have restrictions and regulations in place with the US government. Any violation of this policy may result in immediate removal of the lot in question, censure of the licensee and/or buyer, and/or expulsion from the platform.

The AuctionNinja audience has the ability to report violations of AuctionNinja’s prohibited items using the Report Item capabilities on the site. To report a violation, simply click the REPORT ITEM icon (found under  the item description) and follow the prompts to complete the form. Upon submission, the AuctionNinja administrative team will receive an alert and will open an investigation into the claim of alleged violation and take any necessary action.

AuctionNinja prohibits/restricts the listing and sale of the following items on the site (for further details/clarification, click here):

Stolen or illegally gained goods; 
illegal items; knock-off / counterfeit goods; 
offensive items; 
alcohol* & tobacco; 
prohibited substances; 
post-Civil War firearms* and/or destructive items; 
hazardous and/or radioactive materials; 
services* and “alternative” currencies; 
misrepresented or stolen Native American/American Indian antiquities, artifacts, arts & crafts; 
motor vehicles without clean titles

14. LIMITATION OF LIABILITY, RELEASE & INDEMNITY

You will not hold AuctionNinja responsible for the actions or inactions of site Users, contents of their listings, items they list, nor their destruction of alleged fake and counterfeit items. You acknowledge that AuctionNinja is not a traditional "auctioneer" or "auction house." Instead, AuctionNinja is just a venue or bidding platform, which allows Sellers and Buyers the convenience to offer, sell, and buy practically anything, at anytime, from anywhere, in a variety of pricing formats and locations, such as, online auctions and online store formats. AuctionNinja is not involved in the actual transaction between site Users-the Buyers and the Sellers.

AuctionNinja has no control over and does NOT guarantee the quality, safety or legality of items advertised, the truth or accuracy of Users' content or listings, the ability of the Sellers to sell items, the ability of the Buyers to pay for items, or that the Buyer or the Seller will actually complete a transaction.

AuctionNinja does NOT transfer legal ownership of items from the Seller to the Buyer. Uniform Commercial Code (UCC) § 2-401(2) applies to the transfer of ownership between the Buyer and the Seller, unless the Buyer and the Seller agree otherwise. Accordingly, to the extent legally permitted, AuctionNinja excludes all implied warranties, terms and conditions. AuctionNinja is NOT liable for any loss of money, goodwill or reputation, or any special, indirect or consequential damages arising, directly or indirectly, out of your use of or your inability to use AuctionNinja's Site, services, and tools.

Some jurisdictions do not allow the disclaimer of warranties or exclusion of damages, so such disclaimers and exclusions may not apply to you. Regardless of the previous paragraphs, if AuctionNinja is found to be liable, AuctionNinja's liability to you or to any third party is limited to a maximum of the total fee, if any, paid to AuctionNinja only by you for the specific transaction(s) involved with the Buyer and the Seller. AuctionNinja is NOT responsible for any other costs, such as; but, not limited to, shipping, restocking, legal or indirect fees involved in and/or resulting from the specific transaction(s).

16. EXTENDED BIDDING ("SOFT CLOSE")

AuctionNinja's online auction system features extended bidding (a.k.a. "soft close"). This feature is built into the coding of AuctionNinja and is fully automated. It is the closest way to mimic the actions of an auctioneer (during a live auction) in an online/automated format. To illustrate, during a live auction the auctioneer typically won't hammer at the first bid. The auctioneer gives bidders opportunities to increase their bids until he/she determines there is no further interest in the lot before hammering to the winning bidder. Therefore, AuctionNinja's automated system will automatically extend the closing time of a lot (auction item) whenever a new bid is placed within the last five minutes of its scheduled closing to allow other interested bidders an opportunity to increase their bid (if they wish to do so). This may occur multiple times on any given lot depending on bidder interest. Once all interest and bidding in a lot ceases, the clock will run out and the lot will close.

17. TERMINATION

AuctionNinja may terminate, change, suspend, add-to or discontinue any aspect of the Marketplace, Software-as-a-Service, or digital platform, and/or its service offerings at any time, in its sold discretion, and without any liability to any user. AuctionNinja may restrict, suspend, or terminate Buyer and/or Seller use of, or access to, the Marketplace, Software-as-a-Service, or digital platform, and/or its service offerings if AuctionNinja believes the Buyer and/or Seller is in breach of or are attempting to breach the terms and conditions, applicable law, and/or for any other reason without notice or liability (including, but not limited to providing false or misleading information, unethical business practices, and/or intellectual property rights infringement).
