1. TERMS OF USE FOR DIRECT PREMIUM AUCTIONS SITE
    
2. Site Access and Communication:

a. Users of the Site are subject to these Terms of Use.
b. Upon completing the registration process, members automatically consent to receiving email communications from Direct Premium Auctions.
c. Continued membership on this Site requires your acceptance of such email communications.

2. Financial Authorization:

By utilizing the Site, members grant Direct Premium Auctions the authority to charge their entered credit or debit card for:
i. The final bid amount of an item where the member was the highest bidder.
ii. The associated buyer's premium.
iii. All relevant sales taxes.
iv. Charges will be processed within 24 hours following the conclusion of an auction.
v. Maintaining up-to-date, valid credit card details on file is imperative. Non-compliance will lead to termination of Site access.

3. Bid Authorization Process:

i. To activate bidding capabilities, a preliminary $1.00 pre-authorization will reflect on your financial statement.
ii. This is a pending charge and will be removed after 5-7 business days. Note: Durations for American Express & Discover may vary.

4. Certification:

i. By registering, members affirm they are authorized users of the provided credit card.
ii. Members agree not to contest the specified purchase transactions with their card provider, given that said transactions adhere to the terms set out in this agreement.

2. BUYERS CONTRACT

1. Binding Contract: Any bids placed on the Direct Premium Auctions website constitute an irrevocable offer and form a binding contract between the bidder and Direct Premium Auctions.
2. Payment Responsibilities: Bidders are unequivocally responsible for all payments due to Direct Premium Auctions arising from such bids. This encompasses: a. The final sale price of the item. b. The applicable buyer's premium. c. All relevant taxes in connection with the purchase
3. Bidding Prerequisites: Potential bidders are earnestly advised to refrain from placing bids if they are unable or unwilling to effectuate payment and assume possession of the items within the timelines stipulated for each auction, sale, or event.
4. Consequences of Non-Payment: Should any item be successfully bid upon and not paid for within a span of 24 hours post the close of the respective auction, Direct Premium Auctions reserves the right to offer said item for sale to the next highest bidder or underbidder(s).
5. Finality of Sales: All sales executed via Direct Premium Auctions are deemed conclusive. Accordingly: a. No returns of items will be entertained post-purchase. b. No credits will be issued against any completed transactions. c. Exchanges of items post-purchase are strictly prohibited.

By placing a bid on the Direct Premium Auctions website, you hereby acknowledge and agree to be bound by the above-stipulated terms and conditions.

3. MEMBERSHIP ELIGIBILITY TERMS FOR DIRECT PREMIUM AUCTIONS

1. Eligibility for Membership: Access to and use of this Site is restricted to individuals who: Are at least eighteen (18) years of age or older. Have not been previously suspended, removed, or prohibited from Direct Premium Auctions for any reason.
2. Representation of Age: Upon registering as a member, you hereby affirm and represent that you have reached the legal age of majority as applicable in your jurisdiction.
3. Accuracy of Member Information: Members must:

Provide accurate, current, complete, and truthful information as prompted by the Site's registration processes.Update such information as needed to maintain its accuracy and completeness.

4. Credit Card Information Maintenance: All members are required to:Keep valid credit card information within their membership profile.Ensure that such information remains up-to-date for as long as an active account with Direct Premium Auctions is maintained. Members found in violation of the above terms may be subject to actions deemed appropriate by Direct Premium Auctions, including but not limited to suspension or termination of membership.

4. ITEM DESCRIPTIONS

1. Condition and Sale of Items: All items are sold on an "as-is" and "where-is" basis, with no warranties or guarantees, either expressed or implied.

     B. Descriptions and Representations:

          i. While Direct Premium Auctions endeavors to provide accurate descriptions highlighting damage, repairs, or restorations, the absence thereof does not imply that the item is free from defects or is in pristine condition.
         ii. Given the nature of items being vintage, antique, or previously owned, potential buyers should anticipate wear commensurate with the age and prior use of the items.
      C. Inspection Opportunities:

         i. Direct Premiums Buys sometimes facilitates preview inspections, expressly to provide prospective bidders with an opportunity for personal examination before executing bids.
        ii. Upon request, condition reports might be accessible for certain items.

   D. Finality of Sale:

i. All executed sales are conclusive. 
ii. No returns, credits, or exchanges shall be entertained under any circumstance.

5. BUYER’S PREMIUM

A. Calculation:

An additional buyer's premium, amounting to 18% of the final bid (hammer price), shall be levied on all auction sales.

B. Payment:

i. The accumulated sum of the hammer price, the 18% buyer's premium, and any relevant sales tax will be processed and charged to the credit or debit card registered with Direct Premium Auctions.

This charge will be executed within 24 hours following the conclusion of the auction.

6. SALES TAX

1. Applicability: All transactions are governed by prevailing sales tax regulations.
2. Exemption: Buyers claiming tax exemption must furnish the relevant state sales tax exemption documentation before the sale's closure.Once Direct Premium Auctions acknowledges and verifies this documentation, subsequent purchases by the buyer will be exempt from sales tax.
3. Submission of Resale Forms: Tax resale documentation can be uploaded within the member's profile section. It is imperative that the name and address in your profile align precisely with the details on your resale certificate.

7. CREDIT CARD USAGE AND AUTHORIZATION

1. Authorization for Credit Card Use: By furnishing your credit card details to Direct Premium Auctions, you hereby grant permission to Direct Premium Auctions to levy charges against your credit card for: i. The purchase sum of any successful bid you place.

ii. The associated buyer's premium.

  iii. Any pertinent taxes as may apply.

2. Charge Timeline: Your credit card shall be debited within a 24-hour window subsequent to the auction's conclusion.
3. Mandatory Valid Credit Card Information: Continual upkeep of valid credit card details on file is essential. A failure to adhere to this condition shall culminate in the termination of your access to and use of the Direct Premium Auctions platform.
4. Pre-authorization Transaction: As a precursor to enabling your bidding capacity with Direct Premium Auctions, an initial pre-authorization transaction amounting to $1.00 will manifest on your credit card statement. This earmarked amount remains in a pending state and will be rescinded, causing it to vanish from your statement, between 5 to 7 business days from its appearance.
5. Credit Card Use Certification: You hereby affirm that you stand authorized to employ this credit card for transactions. Furthermore, you covenant not to contest any purchase payments made to Direct Premium Auctions via your credit card, granted such transactions align with the stipulations delineated in this authorization framework.
6. Credit Card Information Security: For the sake of maintaining stringent security measures, Direct Premium Auctions does not retain your credit card details post-transaction.

8. FORFEITURE OF ITEMS

1. Consequence of Non-Payment or Collection: Should there be a failure on your part to settle payments and/or collect items within the stipulated pick-up time frame, in alignment with the Site's Terms & Conditions, such items will be deemed forfeited by you.
2. Disposition of Forfeited Items: At its sole discretion, Direct Premium Auctions may opt to:

  i.Re-list the forfeited items for auction.

ii. Donate the forfeited items to a charity of Direct Premium Auctions' selection.

3. Consequences for Account Delinquency: Direct Premium Auctions retains the right to:

i. Refer your account to collections, consolidating both the initial invoice value and any ancillary charges related to moving or disposal.
ii. Suspend your membership with Direct Premium Auctions, which will only be reinstated upon settlement of outstanding invoices and any associated fees in their entirety.

By participating in auctions hosted by Direct Premium Auctions, you acknowledge and agree to the aforementioned terms concerning the forfeiture of items.

9. PICKUP

1. Obligation for Item Collection: Buyers who successfully place winning bids are required to collect their items from the specified sale location within the duration stipulated on the sale details page.
2. Inability to Adhere to Scheduled Pick-Up: In circumstances where, post a successful bid, you ascertain an inability to retrieve your items during the predetermined removal times and dates, you are obligated to:

i. Communicate with Direct Premium Auctions a minimum of 24 hours in advance of the designated pick-up date.
ii. Upon such intimation, Direct Premium Auctions will assess the feasibility of proposing alternative pick-up arrangements.

3. Alternate Arrangements and Associated Costs: Any alternative arrangements tendered will be solely at the discretion of Direct Premium Auctions. Such provisions may be accompanied by additional charges encompassing transportation, labor, and/or storage.

By bidding on any item via Direct Premium Auctions, you hereby concur with and commit to adhere to the abovementioned pick-up terms and conditions.

10.  PROHIBITED USE

1. Limitations on Rights and Usage: You hereby covenant not to engage in any of the following activities pertaining to the content or materials present on the Site:
   i. Selling, licensing, or renting.
   ii. Modifying, editing, or creating derivative works.
   iii. Distributing, reproducing, transmitting, publicly displaying, or publicly performing.
   iv. Publishing or adapting.
2. Proscription on Unauthorized Use: Engaging in activities or leveraging content and materials in a manner not expressly sanctioned within these Terms of Use is strictly forbidden.
3. Restrictions on Technical Manipulations: Without prior written authorization, you shall refrain from:

i. Decompiling, reverse engineering, or disassembling the Site, except where such actions are indisputably allowed under prevailing laws. In instances where such activities are permissible, you are mandated to provide prior written notice to us.
ii. Copying, framing, enclosing, or undertaking any distribution-related actions concerning any segment of the Site.

By accessing or using Direct Premium Auctions' website, you consent to adhere strictly to the aforementioned restrictions on site use.
